Client: Atlanta advised K3 Business Technology Group PLC in Acquisition of Unisoft BV.
K3, which provides and supports Enterprise Resource Planning software, hosting and managed services to the supply chain industry, has acquired certain assets of Unisoft BV (“Unisoft”), a leading provider of retail Point of Sale (“POS”) solutions in Holland and Scandinavia. The acquisition is for an initial €0.5 million in cash, with further consideration of up to €1.0 million payable in cash, dependent on certain criteria. In addition, an earn-out element is payable over the next three years, based on performance, of up to a maximum value of €1.27 million.
Unisoft has 350 customers, predominantly in Holland, including Dixons, O’Neill, T-Mobile and Pepe Jeans. It generates annual revenues of c.€4.3m, 45% of which are recurring, derived from maintenance income. A further 35% of revenues per annum typically are from additional sales to existing customers. Following the acquisition, Unisoft is expected to contribute an annualised operating profit of approximately £0.4m.
The Unisoft business is complementary to K3’s existing successful Dutch retail operation, and will create cross selling opportunities for K3's existing retail solutions. Following the acquisition, Unisoft will be integrated into K3’s Dutch operations.

Client: Advisors to K3 Business Technology Group a leading supplier of Enterprise Resource Planning software to the supply chain industry on their acquisition of Sense Enterprise Solutions a provider of Microsoft Dynamics AX ERP solutions to the manufacturing and distribution markets. The total initial consideration was £1.2 million on completion, a payment of £350,000 in respect of surplus cash in the business and a further consideration of up to £0.9 million dependent on performance criteria.

Client: Advisors to K3 Business Technology Group on their acquisition of the IP, international sales channel and customers from the Pebblestone Group, the developer of Microsoft based ERP software for the fashion industry. This made an attractive addition to Pebblestone Netherlands which K3 acquired earlier in the year. The initial consideration of 850,000 euros is payable in cash with a deferred consideration of up to 400,000 euros in 2011. |

Client: Advisors to the shareholders of Hosting 365 Limited in their sale to Sungard Inc.
Hosting 365 are an Irish Hosting Company which has developed their own proprietary Cloud management and provisioning system. With two Data Centres in Dublin they are a major player in the Irish market and are leaders in Cloud Software generally and Virtualization specifically.
Sungard are world leaders in a number of areas of software and have a large “Availability Services” division across the USA and Europe. Sungard recognized the Cloud expertise within Hosting 365 and consequently bought 100% of the Share Capital of Hosting 365. The Consideration was not disclosed.
